1. Relationship to Other Agreements

If your organization has executed a separate written agreement with Drawbridge (e.g., a Solutions Services Agreement, Services Agreement, Order Form, etc.) (a “Customer Agreement”), that Customer Agreement governs the purchased products and services. If there is a conflict between these Terms and a Customer Agreement, the Customer Agreement controls with respect to the covered products and/or services.

2. Changes to the Terms

We may update these Terms from time to time at our discretion and without notice to you. The “Last Updated” date indicates the effective date of the latest version. Your continued use of the Site after updates constitutes acceptance.

3. Eligibility

You will defend, indemnify, and hold harmless Drawbridge and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or related to: your breach of these Terms, your violation or infringement of any third party rights, including intellectual property rights or privacy rights, or your use of the Site or any content provided on or through the Site.

We may suspend or terminate access to the Site at any time with or without notice, including if we believe you have violated these Terms or any applicable law.

14. Governing Law; Mandatory Arbitration

These Terms will be governed by, construed, and interpreted in accordance with the laws of the State of New York. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted by a single arbitrator in New York, NY.

16. Miscellaneous
